1. Agreement to terms
By accessing codecanis.com ("the site") or submitting any form on it, you agree to be bound by these Terms of Service. If you don't agree with any part of them, please don't use the site.
These terms apply to everyone — anonymous visitors, prospects, candidates, and clients in the early stages of an engagement. They do not replace any contract you've signed with us.
2. Services
Codecanis is a software engineering company. We provide three categories of service:
- Consultancy — architecture review, technical due diligence, AI/ML strategy, and CTO advisory.
- Custom development — building production software for FinTech, AI, and Blockchain teams.
- Managed services — dedicated engineering teams, cloud/SRE operations, and ongoing platform maintenance.
The site itself is informational. Submitting a contact form starts a conversation; it does not create an obligation on either side until both parties sign a written agreement.
3. Engagement & contracts
Real work happens under a signed contract. Depending on the scope, that's typically one of:
- Statement of Work (SoW) for fixed-scope deliverables.
- Master Services Agreement (MSA) for ongoing or multi-project relationships.
- Dedicated team agreement for embedded engineers and continuous capacity.
Where any term in a signed SoW, MSA, or NDA conflicts with these Terms of Service, the signed contract controls. These site terms only fill gaps for general visitors and pre-contract interactions.
4. Intellectual property
Everything on the site — copy, designs, illustrations, code samples, case-study content, and the Codecanis name and logo — is owned by Codecanis or our licensors and protected by copyright and trademark law.
You may:
- Read, share, and link to public pages.
- Quote short passages with attribution and a link back.
- Reuse anything we've explicitly published under an open-source licence (check the repo's LICENSE file).
You may not, without written permission:
- Republish or sell our content.
- Reverse-engineer or scrape the site for the purpose of cloning it.
- Use our brand assets to imply endorsement.
Client work is different. IP for code, designs, and deliverables produced under an engagement is governed by your signed contract. Our default position is a clean transfer of work-product IP to the client on full payment, with Codecanis retaining rights to background tools, internal libraries, and general know-how.
5. User conduct
When using the site, please don't:
- Attempt to gain unauthorised access to servers, databases, or admin areas.
- Run scrapers, scanners, or load-testing tools that degrade service for others.
- Submit forms with deliberately false information or malicious payloads.
- Use the site to distribute malware, phishing content, or unlawful material.
- Interfere with our spam protection, rate limits, or security headers.
Responsible disclosure of security issues is welcome and appreciated — email contact@codecanis.com with the subject "Security disclosure" and we'll respond within two business days.
6. Third-party links & services
We link to external sites (GitHub repositories, vendor docs, blog references, partner pages). Those sites have their own terms and privacy policies, and we're not responsible for their content or practices. A link is not an endorsement; it's a useful pointer.
7. Disclaimer of warranties
The site is provided "as is" and "as available". We do our best to keep it accurate, fast, and online, but we don't warrant that:
- It will be free of bugs or interruption.
- Every claim, example, or estimate is suitable for your particular situation.
- Information remains current after publication.
Anything on the site that looks like advice — architectural patterns, performance targets, security suggestions — is general guidance. It is not engineering, legal, financial, or regulatory advice for your specific case. Get a signed engagement for that.
8. Limitation of liability
To the maximum extent permitted by applicable law, Codecanis and its directors, employees, contractors, and partners will not be liable for any:
- Indirect, incidental, special, or consequential damages.
- Loss of profits, revenue, data, or goodwill.
- Service interruption, computer damage, or unauthorised access.
Where liability cannot be excluded, it is capped at the greater of (a) USD 100, or (b) the total amount you have paid Codecanis under any signed engagement in the 12 months before the event giving rise to the claim. This clause does not exclude liability that cannot be limited under applicable law (e.g., death, personal injury, fraud).
9. Indemnification
If a third party brings a claim against Codecanis arising out of your misuse of the site, violation of these terms, or violation of any law or third-party right, you agree to indemnify and hold Codecanis harmless from reasonable costs, damages, and legal fees connected with that claim. We will give you prompt notice and allow you to participate in the defence.
10. Termination
We may suspend or terminate your access to the site — without notice and at our sole discretion — if we believe you've breached these terms or are using the site in a way that harms us or others. Sections that by their nature should survive (IP, liability, indemnification, governing law) survive termination.
Termination of site access does not terminate any signed contract; that is governed by the termination clause in the contract itself.
11. Governing law & jurisdiction
These terms are governed by the laws of the Islamic Republic of Pakistan. Any dispute arising from the site is subject to the exclusive jurisdiction of the courts in Lahore, Pakistan.
For clients in the EU, UK, or other jurisdictions, the governing law and venue agreed in your individual contract (MSA / SoW) take precedence over this clause for matters relating to that engagement. Nothing in these terms removes any non-waivable consumer-protection rights you have under local law.
12. Changes to terms
We may update these terms when the site, our services, or the law changes. The "Last updated" date at the top always reflects the current version. Continued use of the site after an update means you accept the new terms. For material changes, we will post a notice on the site for at least 14 days.
